1. Who these terms are between
These terms are an agreement between Automic LLC, a limited liability company formed in the State of New Mexico, United States ("Automic", "we", "us"), and the business that uses the Automic service ("you").
2. What the service is
Automic is a tool that helps a business handle customer messages on its connected Instagram professional account, using product and policy information the business has approved.
3. Business use only
Automic is provided for business use. It is not offered for personal or household use. By accepting these terms you confirm that you are acting for a business and that you are authorised to bind it.
4. Authority to connect an Instagram account
You confirm that you are authorised to connect the Instagram professional account you connect to Automic, and to permit Automic to send and receive messages through it on your behalf.
5. Development-stage availability
Automic is in early development. Access is granted directly to a limited number of businesses. There is no public sign-up and no self-service account creation, and we make no commitment as to when, or whether, general availability will follow.
6. Your responsibilities
- Provide accurate product, price, and policy information, and keep it up to date.
- Comply with applicable law, and with Meta's platform and messaging policies for the account you connect.
- Obtain any consent required to message your customers.
- Take responsibility for messages sent from your account, including replies prepared with Automic's help.
Automic replies using the information you supply. Inaccurate or out-of-date information produces inaccurate replies.
7. Acceptable use
You may not use Automic for unlawful, deceptive, harassing, or infringing purposes; to send spam or bulk unsolicited messages; or to attempt to breach security, access another business's data, or reverse-engineer the service.
8. Limitations of automated replies
Replies are generated in part by automated language models and may be incomplete or incorrect. The service is designed to defer to a person where information is missing or uncertain, but this is a design goal and not a guarantee of accuracy. Output is not professional advice.
9. Service availability
During this development stage the service is provided as-is and as-available. We offer no uptime commitment, no service level agreement, and no guaranteed support response time. Features may change, and the service may be interrupted, suspended, or withdrawn.
10. Commercial terms
No pricing is offered through this website. Where fees apply, they are agreed separately in writing between you and Automic.
11. Intellectual property
Automic retains all rights in the service, its software, and its brand. Nothing in these terms transfers those rights to you.
12. Your content
You retain all rights in your own content, catalogue, policies, and customer communications. You grant Automic the licence necessary to host and process that material in order to provide the service to you.
13. Confidentiality
Each party will protect the other's non-public information and use it only for the purpose of the service.
14. Third-party platforms
Automic depends on Meta's Instagram platform. Changes, outages, policy decisions, or account actions by Meta are outside our control and may affect, interrupt, or end the integration. We are not responsible for those events.
15. Suspension
We may suspend access where required by law, where we reasonably suspect abuse or a security risk, or where continued operation would breach Meta's platform policies.
16. Termination
Either party may stop using or providing the service at any time. On termination, data is handled as described in the Privacy Policy.
17. Privacy and data handling
Our handling of information is described in the Privacy Policy, which forms part of these terms.
18. Disclaimer of warranties
To the fullest extent permitted by law, the service is provided without warranties of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that automated replies will be accurate or complete.
19. Limitation of liability
To the fullest extent permitted by law, Automic is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or loss of goodwill, however caused.
Automic's total aggregate liability arising out of or relating to the service is limited to the total fees you paid to Automic for the service in the twelve months immediately before the event giving rise to the claim.
20. Governing law
These terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict-of-laws rules. The state and federal courts located in New Mexico have exclusive jurisdiction over any dispute arising out of or relating to these terms, and both parties consent to that jurisdiction.
21. Changes to these terms
We may update these terms. Changes are posted on this page with an updated date, and continued use of the service after that date means you accept them.
